Alpha Trial Terms of Use

These Alpha Trial Terms of Use ("Alpha Terms") govern Your access to and use of WSO2 Cloud Agent Manager which is an AI agent management service offered on the WSO2 Cloud platform as an alpha release ("Agent Manager") by WSO2 LLC ("WSO2", "we") to you ("You" or "Customer"). If You are an individual accepting these Alpha Terms on behalf of a company or other legal entity, You represent that You are authorized to bind the entity to these Alpha Terms and in that case “You” or “Your” will refer to the entity bound to these Alpha Terms.
You represent to us that You are lawfully able to enter into contracts (e.g., you are not a minor).
By accessing or using the Agent Manager or by clicking “I agree to the Terms” (or similar button or checkbox), You agree to these Alpha Terms together with the WSO2 Privacy Policy. If You do not agree, do not use the Agent Manager.
“Your Users” means individuals (including non-human devices, such as applications or services) who are authorized by You to use Agent Manager in accordance with these Alpha Terms.
Your “Data” means all electronic data (in any format including code, visuals, text) submitted by or on behalf of You or Your Users to the Agent Manager.
1. License Terms
1.1 The Agent Manager is a pre-release version provided for internal evaluation and feedback. It is not generally available and must not be used for production, business-critical, or regulated workloads. Your use of the Agent Manager is voluntary.
1.2 WSO2 grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Agent Manager during the Trial Period in accordance with the relevant documentation as available.
1.3 Features, APIs, and behavior may change or be removed at any time without notice.
2. 14-Day Trial
2.1 Your access to the Agent Manager is provided as a free fourteen (14) day trial, beginning on the date You first activate or are granted access ("Trial Period"). WSO2 has the discretion to shorten the Trial Period at any time.
2.2 At the end of the Trial Period, Your access to the Agent Manager will end unless WSO2, at its sole discretion, extends Your trial or makes a paid or successor offering available to You under separate terms.
3. Use of Artificial Intelligence (“AI”) or third party components
3.1 You agree to not use the Agent Manager for any high risk AI system requirements or processing as defined in the applicable AI regulations.
3.2 Output from the Agent Manager may be inaccurate, incomplete, biased or unsuitable. You acknowledge that agents may execute actions with real-world consequences, including financial, contractual, reputational, or operational consequences, on third-party systems You authorize. You are solely responsible for: (i) the systems and credentials You connect, (ii) the scope of permissions You grant, (iii) reviewing and approving agent actions, and (iv) any resulting consequences. WSO2 has no liability for actions taken by Your agents or third party components on any system.
3.3 By implementing or integrating an AI agent or a third party component to the Agent Manager, You hereby grants to WSO2 the right, and is expressly instructing WSO2, to access and interoperate with the AI agent or third party components in order to provide and support Agent Manager. You are responsible for complying with all applicable third-party terms, policies and licenses governing its access and use of Your AI agents or third party components and associated data.
3.4 You must not submit to the Agent Manager, or expose to any agent, any: (a) protected health information (PHI) regulated by HIPAA or any other regulation; (b) payment card data subject to PCI DSS; (c) government-issued identifiers, biometric data, or other special-category personal data under applicable data protection laws; (d) export-controlled or classified information; or (e) credentials providing privileged access to Your systems.
3.5 WSO2 will not use Your prompts, agent inputs, agent outputs, or other content You submit to the Agent Manager to train foundation AI models, except Operational Metadata as stated below.
3.6 You agree that WSO2 may collect and use Operational Metadata to operate, maintain, improve, and support the Agent Manager, including for diagnostics, analytics, system performance, and reporting purposes. WSO2 will only disclose Operational Metadata externally if such data is (a) aggregated or anonymized with data across other customers, and (b) does not disclose Your identity, personal data of Your Users, or any of Your confidential information. Operational Metadata shall mean usage and diagnostic information generated by the Agent Manager and collected by WSO2 to support, maintain, and optimize the performance and security of the Agent Manager, including information regarding software versions, system configuration, uptime, error logs, and feature usage.
3.7 Your use of any of any AI generated output shall be disclosed to be AI generated.
4. Service Availability and Modifications
4.1 WSO2 may, at any time and at its sole discretion, modify, suspend, throttle, limit, or discontinue Agent Manager or any feature, in whole or in part, with or without notice.
4.2 The Agent Manager is provided without any service level agreement, uptime commitment, or support guarantee.
4.3 You are responsible for maintaining Your own backups of any content or configuration You create in the Agent Manager. WSO2 does not guarantee retention or recoverability of any Data.
5. Acceptable Use
You will not (i) alter, modify, or make derivative works of the Agent Manager; (ii) reverse engineer, reverse assemble or decompile, or otherwise attempt to derive source code, ideas, algorithms or structure underlying the Agent Manager or any portion thereof; (iii) use any robot, spider, crawlers, deep-link, automated content scraping script, grabbers or other automatic device, program, techniques, algorithm or methodology to retrieve, index, scrape, data mine or in any way gather, copy or monitor any portion of the Agent Manager or any content thereof; (iv) deploy or use Agent Manager beyond the usage limits as specified in any documentation; (v) install, access, or use Agent Manager for any unfair or deceptive practices or in contravention of any federal, state, local, foreign, or other applicable laws, or rules and regulations; (vi) act in a fraudulent, tortious malicious, or negligent manner when using Agent Manager; (vii) rent, sell, license, or remarket Agent Manager, or provide access to Agent Manager to any third party (other than Your Users); (viii) introduce or implement any other code or routine which results in disruption or damage to Agent Manager; (ix) store, transmit, post or utilize inappropriate, violent, nude, sexually suggestive, discriminatory, offensive, infringing, libelous, or other unlawful materials in violation of any third party privacy rights when using Agent Manager; (x) use Agent Manager to analyze samples related to pornographic, obscene, nude, graphically violent, and other inappropriate content; (xi) access or use the Agent Manager or documentation in order to (1) copy ideas, features, functions or graphics, (2) develop competing products or services, or (3) perform competitive analyses; (xii) remove, obscure or alter any proprietary notice related to Agent Manager; (xiii) post, upload, publish, submit or transmit any Data that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (xiv) circumvent or otherwise interfere with any user authentication or security of Agent Manager; (xv) perform security tests on the Service without WSO2’s approval; or (xvi) violate any of the terms, policies, security best practices and guidelines of infrastructure and cloud platform providers (including but not limited to AWS Free Tier Terms). You are responsible for all acts and omissions of Your Users.
6. Confidentiality
The Agent Manager and any non-public information shared by WSO2 (including roadmaps, internal performance data, and pre-release documentation) are confidential. You will not disclose such non-public information nor publish formal benchmarks or comparative performance claims about Agent Manager without WSO2's prior written consent.
7. Feedback
Any feedback You provide regarding Agent Manager may be used by WSO2 for any purpose, without restriction or compensation, and You grant WSO2 a perpetual, irrevocable, royalty-free license to do so. To the extent permitted by applicable law, You waive any moral rights in such feedback.
8. Disclaimers
AGENT MANAGER IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WSO2 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WSO2 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF AGENT MANAGER. WSO2'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED US $100.
10. Indemnification
10.1 You shall defend, indemnify, and hold harmless WSO2, its affiliates, directors, employees, and agents ("WSO2 Indemnified Parties") from and against any and all third-party claims, demands, suits, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and costs of litigation) arising out of or resulting from:
- (a) Your use, deployment, or testing of the Agent Manager;
- (b) Any breach by You of these Alpha Terms; or
- (c) Your modification of the Agent Manager or its combination with other software or hardware.
10.2 This indemnification obligation applies regardless of whether the claim arises in tort, contract, negligence, or otherwise, and includes claims resulting from the malfunction, bugs, or defects inherent in Agent Manager.
10.3 WSO2 shall (i) promptly notify You in writing of any claim, (ii) grant You sole control of the defense and settlement of the claim, and (iii) provide reasonable assistance at Your expense.
11. Termination
Either party may terminate these Alpha Terms or Your access to the Agent Manager at any time, for any reason, with or without notice. Upon termination or expiration of the Trial Period, Your right to use the Agent Manager ends, and any Data, configurations, or content associated with Your account may no longer be accessible. The termination or expiration of this Agreement for any reason shall not affect a Party’s rights or obligations that expressly or by their nature continue and survive.
12. General
12.1 These Alpha Terms are governed by the laws of Texas, without regard to conflicts of laws.
12.2 You will comply with all applicable export control and sanctions laws.You also agree that You shall not export, reexport, or transfer Agent Manager in violation of applicable export control and economic sanctions laws, including to countries or territories subject to a U.S. Government embargo or to persons designated on a U.S. government prohibited party list. You may not use, import or export materials in violation of the United States or any other applicable country’s import and export laws and regulations. WSO2 assumes no liability or responsibility for Your failure to comply with this section.
12.3 WSO2 may update these Alpha Terms at any time by posting an updated version. Continued use after the update constitutes acceptance.
12.4 Neither Party shall be liable for any failure or delay in performance under these Alpha Terms due to fire, explosion, earthquake, storm, flood or other weather; unavailability of necessary utilities; internet service provider failures or delays, or denial of service attacks; war, civil unrest, acts of terror, insurrection, riot, acts of God or the public enemy; epidemics or pandemics; strikes or other labor problems; any law, act, order, proclamation, decree, regulation, ordinance, or instructions of government or other public authorities, or judgment or decree of a court of competent jurisdiction (not arising out of breach by such Party of these Alpha Terms); or any other event beyond the reasonable control of the Party whose performance is to be excused.
12.5 If any provision of these Alpha Terms are held invalid or unenforceable for any reason, the remainder of the provision shall be amended to achieve as closely as possible the economic effect of the original term and all other provisions shall continue in full force and effect.
12.6 WSO2 may collect personal data of You when you log into the Agent Manager and You may at Your will provide personal data to WSO2 when using Agent Manager. While WSO2 will make commercially reasonable efforts to secure such data against unauthorized access or deletion, You acknowledge that this is pre-release software and assumes all risks regarding data integrity and privacy.
